Welcome to Shivaryaa Innovations Private Limited. These Terms & Conditions govern your use of our digital products, custom software development services, mobile applications, and web solutions. By engaging with our services, you agree to these terms.

Shivaryaa Innovations Private Limited is a registered Indian company (CIN: U72900GJ2023PTC123456) specializing in custom digital product development, mobile applications, web platforms, and innovative fintech solutions like our flagship product Sanduk - Digital Gold Saving App.

Our services include but are not limited to:

• Custom mobile app development (iOS & Android)
• Web application and platform development
• UI/UX design and prototyping
• Digital product consulting and strategy
• Maintenance and support services

All projects begin with:

• Signed project proposal and scope document
• Advance payment of 40% of total project value
• Detailed project timeline and deliverables

Standard payment terms for all projects:

• 40% advance payment to initiate development
• 30% payment upon completion of design phase
• 20% payment upon beta version delivery
• 10% final payment upon project completion and deployment

Project timelines are calculated based on:

• Project complexity and feature requirements
• Platform requirements (web, iOS, Android)
• Third-party integrations and API dependencies
• Client feedback and approval timelines

Source Code Ownership: Upon full payment completion, clients receive full ownership of the custom-developed source code and final product.

Third-Party Components: Open-source libraries and third-party APIs remain under their respective licenses.

Reusability: We reserve the right to reuse generic components and frameworks developed during your project for other clients.

Standard support includes:

• 90 days free bug-fixing support from deployment date
• Annual maintenance contracts available at 15-20% of project value
• Priority support and emergency fixes available

Clients are responsible for:

• Providing complete and accurate project requirements
• Timely feedback and approvals on deliverables
• Providing necessary content, images, and brand assets
• Arranging hosting, domain, and third-party service accounts

Both parties agree to maintain strict confidentiality regarding:

• Business strategies and project requirements
• Technical specifications and source code
• Financial terms and project pricing

Warranty: We warrant that our deliverables will be free from material defects and will function as specified in the project documentation for 90 days from delivery.

Limitation of Liability: Our total liability under any circumstance shall not exceed the total project value. We are not liable for indirect, consequential, or punitive damages.

Either party may terminate the agreement with 14 days written notice. In case of client termination, payment is due for all work completed up to the termination date. In case of our termination, we will refund any advance payments for work not yet started.

Disputes will first be addressed through good-faith negotiations. If unresolved within 30 days, disputes will be subject to arbitration in Ahmedabad, Gujarat, India, under Indian Arbitration and Conciliation Act, 1996.

These terms and conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
